§1 Plans and Subscriptions

1.1 Plans and Pricing

OpenMax Workspace offers various types of free and paid plans. The specific name, price, Credit allowance, member seats, feature permissions, service level, and other benefits of each plan are subject to the OpenMax pricing page applicable at the time of your subscription or purchase, the in-Workspace purchase or upgrade page, the order, or the terms otherwise agreed upon in writing by both parties.

In the event of any inconsistency among the foregoing, the order or checkout page confirmed by you at the time you actually complete the subscription or purchase shall prevail; where both parties have otherwise agreed in writing, such written agreement shall prevail.

1.2 Subscription Cycle

Except as otherwise provided on the purchase page, in the order, or as agreed by both parties, paid plans are subscribed on a monthly basis. The billing cycle is calculated from the date the relevant paid plan is activated, and a new billing cycle begins on the corresponding date each subsequent month; if a given month does not have the corresponding date, the last day of that month shall be used as the corresponding date.

1.3 Automatic Renewal

Unless you cancel your subscription before the end of the current billing cycle, the paid plan will automatically renew at the end of each billing cycle. OpenMax will charge the fee for the next billing cycle at the plan price applicable at the time of renewal, through the payment method you provided or bound.

If the charge fails, OpenMax may attempt to charge again and may take restrictive measures against the relevant services or features in accordance with these Rules.

1.4 Free Plans and Trials

OpenMax may from time to time offer free plans, free trials, trial Credits, or other promotions. The specific eligibility, term, Credit allowance, validity period, and other conditions are subject to the relevant campaign rules, purchase page, or platform display.

Where a free trial will automatically convert to a paid subscription after the trial period ends, the relevant price, charge time, and cancellation method will be displayed when the user activates the trial.


§2 Complimentary and Promotional Credits

2.1 Credit Gifting

OpenMax may from time to time gift Credits to eligible users or Workspaces through free plans, trials, operational campaigns, promotions, referrals, redemptions, or other means.

2.2 Applicable Conditions

The eligibility, amount granted, grant time, applicable Workspace, scope of use, validity period, and other applicable conditions of gifted Credits are subject to the relevant campaign rules, claim or redemption page, platform display, or other explanations provided to you by OpenMax.

The expiration and invalidation of gifted Credits shall be handled in accordance with §6 Credit Sources, Validity Period, and Invalidation.

2.3 Campaign Adjustments

Except as expressly agreed with you, gifted Credits do not constitute a commitment by OpenMax to continuously or periodically provide the same type of gift. OpenMax may adjust, suspend, or terminate gift campaigns, eligibility conditions, allowances, or other campaign arrangements that have not yet been granted.

If fraud, abuse, duplicate claiming, violation of campaign rules, or other improper acquisition of gifted Credits is discovered, OpenMax has the right to cancel the relevant campaign eligibility and to revoke or invalidate improperly obtained Credits.


§3 Plan Changes and Cancellation

3.1 Plan Upgrade

You may upgrade your current paid plan in accordance with the plans and purchase methods provided by OpenMax at the time. Except as otherwise stated on the purchase page, a plan upgrade takes effect after the corresponding fee is paid and successfully activated, and a new billing cycle begins from the date the upgrade takes effect.

A plan upgrade is deemed a purchase of a new plan. OpenMax will charge the fee at the full subscription price applicable to the upgraded plan, and will grant the corresponding subscription Credits in full in accordance with the rules of that plan. Fees already paid for the original plan will not be refunded, credited, or converted on a pro-rata basis, nor will they be settled against the difference in the upgraded plan's fee, except as otherwise expressly agreed on the purchase page or in the order, or as otherwise required by applicable law.

Credits obtained but not yet used before the upgrade retain their original validity period and conditions of use and remain usable; they will not be merged, cleared, extended, or recalculated due to the plan upgrade. Credits newly granted after the upgrade are handled in accordance with the rules applicable to the upgraded plan and the new billing cycle.

3.2 Plan Downgrade

Except as otherwise stated by the platform, a plan downgrade takes effect after the current billing cycle ends. Before the current billing cycle expires, you may still use the relevant services in accordance with the benefits and rules applicable to the original plan.

If, after you actively downgrade, the number of existing member seats in the Workspace exceeds the number of seats permitted by the downgraded plan, you must first remove the excess member seats before the plan downgrade can be completed.

If a plan is automatically downgraded due to renewal failure or other reasons, and the number of existing member seats in the Workspace exceeds the number permitted by the downgraded plan, OpenMax will not automatically remove existing members. The Workspace administrator or personnel with the corresponding permissions should remove the excess member seats or upgrade the plan in accordance with the platform's prompts.

Credits obtained before the downgrade will still be handled in accordance with their original validity period and conditions of use, and will not be automatically extended, recalculated, or redeemed due to the plan downgrade.

3.3 Plan Cancellation

You may cancel your paid subscription before the current billing cycle expires, using the method provided by the platform. Cancellation of the subscription takes effect at the expiration of the current billing cycle; before that, you may continue to use the current paid plan.

After cancellation, OpenMax will no longer automatically renew for the next billing cycle. Fees already paid for the current billing cycle will not be refunded, except as otherwise required by applicable law or as otherwise agreed on the relevant purchase page or in the order.

Credits already granted will not be reclaimed early due to subscription cancellation; their validity period and conditions of use remain unchanged and will be handled in accordance with the provisions of these Rules regarding Credit validity period and invalidation.

After cancellation takes effect, the Workspace will automatically convert to the Free plan applicable at that time.


§4 AI Agent Operation and Resource Billing

4.1 Operation Billing

The AI Agents provided by OpenMax may consume Credits during operation based on the computing, storage, and other operational resources they actually occupy.

The operational fee of an AI Agent is calculated per minute based on actual runtime and is deducted from the Credit balance of the relevant Workspace. No operational fee is charged in advance when creating or adding an AI Agent; the actual fee is settled afterward based on runtime. The relevant Credit consumption records may be displayed aggregated by hour.

Model invocation fees and operational resource fees incurred during an AI Agent's task execution are accounted for separately, and Credits are consumed in accordance with §5 Model Invocation and Token Billing.

4.2 Operation and Storage Rates

The table below shows the operation and storage rates applicable at the time these Rules take effect. OpenMax may from time to time adjust the relevant rates based on service cost, resource configuration, product operations, and other factors, and will publish such adjustments by updating this rate table or the Workspace billing page. This rate table may be updated from time to time; updates to the rate table do not affect the validity of the other provisions of these Rules. The specific applicable rate is subject to the latest published rate at the time the relevant usage occurs, and the adjusted rate applies only to relevant usage generated after it takes effect.

AI Agent operation fees and dormant storage fees are calculated per minute, and the relevant Credit consumption records may be displayed aggregated by hour. Where a single billing item is less than 1 minute, it is calculated as 1 minute; where different billing states switch within the same minute, each billing state is calculated separately, and each state that is less than 1 minute is separately calculated as 1 minute. Upon dormancy or destruction, the relevant fees already incurred prior thereto are settled.

The specific usage, Credit consumption, and billing details are subject to the platform's records.

4.3 Dormancy

After an AI Agent enters a dormant state, the operational resource fee ceases to be charged, but a storage fee continues to be charged based on its system disk capacity. The storage fee is calculated per minute and deducted from the Credit balance of the relevant Workspace.

After an AI Agent resumes operation, the dormant storage fee ceases to be charged, and the operational fee is again charged at the applicable rate.

4.4 Destruction

Users may destroy an AI Agent using the method provided by the platform. After an AI Agent is destroyed, its operational resources and system disk will be released, and the relevant operational and storage fees cease to be calculated.

Destruction is an irreversible operation; data related to the relevant AI Agent's system disk will not be recoverable. Users should confirm on their own and properly save any required data before performing destruction.

4.5 Third-Party AI Agents and Services

For third-party AI Agents or services that you connect to or use on your own, the relevant third party may charge separately in accordance with its own rules. Except as expressly stated by the platform, such third-party AI Agents or services do not themselves incur OpenMax AI Agent operational resource fees; however, where they use other billable features or resources provided by OpenMax through the Workspace, they may still consume Credits in accordance with the corresponding billing standards.


§5 Model Invocation and Token Billing

5.1 Model Invocation Billing

When the AI Agents provided by OpenMax invoke large language models or other AI models during task execution, they will consume Credits based on actual model usage.

Credit consumption incurred by model invocation and Credit consumption incurred by AI Agent operation and resource usage are accounted for separately, and are uniformly deducted from the Workspace's available Credit balance.

5.2 Model Token Billing Standards

Different models, as well as input Tokens, output Tokens, cache reads, and other applicable model invocation methods, may be subject to different Credit billing standards.

The specific available models and applicable Credit billing standards are subject to the platform display at the time you use the relevant model or the billing standards applicable at that time.

When the model provider's pricing, the discounts or promotions applicable to OpenMax, or other billing factors change, the relevant Credit billing standards may be adjusted accordingly. The adjusted billing standards apply only to relevant usage occurring after they take effect and do not affect Credit consumption already incurred before the adjustment takes effect.

5.3 Billing for Model Invocation Exceptions and Retries

Model invocation fees are settled based on the usage actually generated and reported by the relevant model, and are not based on whether the relevant task is ultimately executed successfully.

If a relevant model invocation does not generate or report billable usage, no corresponding model invocation fee is incurred; if Token usage has already been generated and reported before the invocation times out, is canceled, or is interrupted, such usage already generated will still consume Credits in accordance with the applicable billing standards.

Independent model invocations that are re-initiated, retried, or continued by the AI Agent will each be billed based on their respective actual usage, if corresponding usage is generated and reported. The same usage record will not be double-deducted from Credits due to duplicate reporting or duplicate processing.

5.4 Third-Party Models or AI Agents

If you connect on your own to third-party AI Agents, models, or other services and use your own API Key, account, or other third-party billing method, the model invocation fees incurred by the relevant third party shall be borne by you in accordance with that third party's rules and, except as expressly stated by the platform, will not be settled through OpenMax Credits.


§6 Credit Sources, Validity Period, and Invalidation

6.1 Credit Sources

Credits may be obtained through subscription plan grants, separate purchase, operational campaign gifts, redemption, or other means. Credits from different sources, purchase channels, or grant batches may be subject to different validity periods and conditions of use.

Except as otherwise expressly agreed on the relevant purchase page, in the order, in the campaign rules, or by both parties:

  1. Credits granted by subscription plans: valid within the corresponding subscription billing cycle; Credits not yet used at the expiration of that billing cycle automatically become invalid;
  2. Gifted and promotional Credits: executed in accordance with the validity period specified in the relevant campaign rules, claim page, or redemption page;
  3. Separately purchased Credit packs: executed in accordance with the validity period specified in §7 Credit Pack Purchase;
  4. Enterprise or other customized Credits: executed in accordance with the validity period agreed in the relevant contract or order.

The specific validity period of each Credit is subject to the purchase page, order, campaign rules, redemption rules, contract terms, or expiration time displayed on the platform applicable at the time you obtain that Credit.

6.2 Credit Validity Period

The validity period of Credits from different batches is calculated separately. Except as otherwise expressly agreed in the relevant rules or by both parties, the validity period of Credits will not be automatically extended, merged, or recalculated due to subsequent renewal, repeat purchase, or acquisition of other Credits, or due to plan upgrade, downgrade, or cancellation.

6.3 Credit Invalidation

Credits should be used before their validity period expires. After the validity period expires, unused Credits will automatically become invalid and can no longer be used to pay for or offset OpenMax service fees.

Except as otherwise expressly agreed on the relevant purchase page, in the order, in the campaign rules, or in a contract, or as otherwise required by applicable law, invalidated Credits will not be restored, reissued, withdrawn, exchanged for cash, or refunded.


§7 Credit Pack Purchase

All plan users (including Free plan users) may separately purchase Credit packs in accordance with the purchase methods provided by OpenMax, to supplement the Workspace's available Credits.

The base purchase price of Credits is USD 1 per 100 Credits. The specific purchase amount and Credit quantity are subject to the purchase page or order display.

Credits from each purchase are recorded into the relevant Workspace's Credit balance as an independent batch and are valid for one year from the date of entry.

Credit packs are independent of subscription plans. Plan upgrade, downgrade, cancellation, or expiration does not affect the validity period or continued use of previously purchased Credits. Purchased Credits will continue to be retained in the relevant Workspace within their validity period and may continue to be used to pay for relevant billable services under the plan currently applicable to that Workspace.

Purchasing Credits separately does not change the current subscription plan tier, nor does it thereby unlock the features or benefits of a higher-tier plan.

Except as otherwise required by applicable law or expressly agreed on the purchase page or in the order, purchased Credits are not eligible for refund, withdrawal, or exchange for cash.


§8 Credit Deduction Order

If a single Workspace simultaneously holds Credits from different sources or different batches, OpenMax deducts them in the following order:

  1. Credits with an earlier expiration time are deducted first;
  2. For Credits with the same expiration time, they are deducted in the order of gifted and promotional Credits, Credits granted by subscription plans, and purchased Credit packs;
  3. For Credits of the same type with the same expiration time, they are deducted in order of entry time, with earlier-entered Credits deducted first.

§9 Balance Alerts and Notifications

9.1 Balance Alerts

Based on the Workspace's Credit balance and historical consumption, OpenMax may send reminders to users via email, in-app notification, or other methods supported by the platform when the Credit balance falls below the alert threshold set by the user, or when the system estimates that the existing Credit balance is insufficient to support the projected usage for the next 7 days, 3 days, or 1 day.

The relevant balance projections are calculated based on historical usage, are for reference only, and do not constitute a guarantee of the actual usable time or Credit consumption. Users should monitor the Workspace's Credit balance and actual usage on their own.

9.2 Insufficient Balance and Settlement of Arrears

When the Workspace's available Credit balance is insufficient, OpenMax will stop or restrict the relevant services that generate new Credit consumption.

If the Workspace has unpaid Credit arrears, Credits subsequently obtained through purchase, top-up, or system grant will automatically be used first to settle the arrears; only after the arrears are fully settled may the remaining Credits continue to be used for relevant services.

AI Agent dormancy, storage fees, and other arrears handling caused by insufficient balance are executed in accordance with §11 Arrears and Shutdown.

9.3 Auto Top-up

Where OpenMax offers an Auto Top-up feature, users may set an auto top-up threshold, bind a valid payment method, and select the corresponding Credit pack using the method provided by the platform. When the Workspace's available Credit balance falls below the threshold set by the user, the system will automatically purchase the corresponding Credit pack according to the user's settings and charge the corresponding fee through the bound payment method. The specific setup method, purchasable Credit packs, and other applicable conditions of Auto Top-up are subject to the platform display.

If an auto top-up charge fails, OpenMax may automatically attempt to charge again. If it still fails after multiple attempts, the auto top-up fails, and the Workspace's Credit balance remains unchanged.

If insufficient balance or arrears result therefrom, they will be handled in accordance with §9.2 Insufficient Balance and Settlement of Arrears and §11 Arrears, Dormancy, and Destruction.

9.4 Monthly Operation Spending Cap

Users may set a monthly Credit spending cap for the Workspace using the feature provided by the platform. When the Workspace's Credit consumption for the current month (including consumption from each AI Agent's operation, model invocation, and other billable features) reaches the monthly spending cap set by the user, all AI Agents in that Workspace will enter a dormant state and cease to incur operational fees and new model invocation fees, until the next billing cycle begins or the user adjusts the cap.

During AI Agent dormancy, because the system disk and other relevant resources continue to be retained, the corresponding storage fees will still be incurred in accordance with §4 AI Agent Operation and Resource Billing and will continue to be deducted from the Workspace's available Credit balance.

9.5 Credit Expiration Reminders

For Credits with a definite validity period, OpenMax will send an expiration reminder 3 days before their expiration via email, in-app notification, or other methods supported by the platform.

For Credits that are small in amount, periodically granted, or otherwise specified in the relevant campaign rules, OpenMax may not provide a separate expiration reminder. Failure to receive or promptly review the relevant reminder does not affect the expiration and invalidation of Credits according to their original validity period.


§10 Balance Admission and Resource Protection

10.1 Continuous Resource Fees

The term "Continuous Resource Fees" as used in this Section refers to fees incurred because an AI Agent is in an operating or dormant state and continuously occupies computing, storage, and other resources provided by OpenMax.

When an AI Agent is in an operating state, the corresponding operational fee is incurred; after it enters a dormant state, the operational fee ceases to be incurred, but a corresponding storage fee is incurred because the system disk and other relevant resources continue to be retained. The specific billing standards and calculation methods are executed in accordance with §4 Operation and Storage Rates.

Fees incurred based on actual usage, such as model invocation, do not fall under the Continuous Resource Fees referred to in this Section and are separately calculated in accordance with §5 Model Invocation and Token Billing.

10.2 Balance Admission

For operations that may increase Continuous Resource Fees, OpenMax will, before the relevant operation is executed, perform a balance admission check based on the Continuous Resource Fees projected to be incurred within a certain admission period after the operation is completed and the Workspace's available Credit balance.

The specific admission period is subject to the settings or display applicable to the platform at that time. Where the Workspace's available Credit balance is sufficient to cover the aforementioned projected Continuous Resource Fees, the relevant operation is allowed; where it is insufficient, the relevant operation will be blocked and the user will be prompted to add Credits and retry.

The aforementioned balance admission is used only to determine whether the relevant operation can be executed and does not constitute a pre-deduction, freezing, or actual charging of Credits. The relevant fees are still generated and deducted in accordance with the billing standards specified in these Rules and actual usage.

10.3 Operations Subject to Balance Admission

Balance admission mainly applies to the following operations that may increase Continuous Resource Fees:

  1. Creating a new AI Agent;
  2. Restoring or waking a dormant AI Agent;
  3. Upgrading the resource specification of an AI Agent; and
  4. Other operations that may increase Continuous Resource Fees.

10.4 Operations Always Allowed

For the purposes of the balance admission mechanism in this Section, dormancy, destruction, reduction of resource specification, and other operations that reduce Continuous Resource Fees are always allowed and are not restricted due to the Workspace's insufficient Credit balance.

Balance admission applies only to operations that may increase Continuous Resource Fees and should not prevent users from stopping or reducing subsequent fees through dormancy, destruction, reduction of resource specification, or other means.

10.5 Resource Protection

To safeguard the secure and stable operation of the Workspace and relevant services, OpenMax may, based on system capacity, concurrency, and resource usage, implement reasonable technical resource protection measures on the concurrent creation, creation frequency, initialization queue, or other relevant operations of AI Agents.

The aforementioned resource protection measures are a system security and stability management mechanism and are not equivalent to setting a fixed quantity quota on AI Agents.


§11 Arrears, Dormancy, and Destruction

11.1 Arrears During Paid Subscription

During the period in which a Workspace holds a valid paid subscription, if the available Credit balance is insufficient to pay the relevant fees, the operating AI Agents will enter a dormant state and cease to incur operational fees.

During AI Agent dormancy, the relevant system disk and other resources continue to be retained and continue to incur storage fees in accordance with §4 Operation and Storage Rates. Fees already incurred but not yet settled, and storage fees incurred during dormancy, will be counted as the Workspace's arrears.

Where the user subsequently obtains Credits through purchase, top-up, or system grant, the relevant Credits will be used first to settle the arrears in accordance with §9.2 Insufficient Balance and Settlement of Arrears . After the arrears are fully settled, the AI Agent will not automatically resume operation; the user must re-wake it themselves.

During the continued validity of a paid subscription, the aforementioned arrears will not trigger the 14-day retention and destruction countdown described in §11.3 Arrears and 14-Day Retention Period Under the Free Plan.

11.2 Paid Subscription Renewal Failure

If a renewal charge fails after a paid subscription expires, OpenMax may attempt to charge again in accordance with the applicable payment process. After renewal failure is finally confirmed, the relevant Workspace will convert to the Free plan.

When a Workspace converts to the Free plan, if unpaid arrears still exist, it enters the 14-day retention period in accordance with Section 11.3.

11.3 Arrears and 14-Day Retention Period Under the Free Plan

While a Workspace is on the Free plan, if unpaid arrears arise due to insufficient Credit balance, that Workspace will enter a 14-day arrears retention period, and the AI Agents under it will enter a dormant state.

When a Workspace enters the 14-day arrears retention period, OpenMax will send a notification to the user via email, and will again remind the user via email 7 days and 3 days, respectively, before the retention period expires. OpenMax is deemed to have fulfilled its notification obligation by sending the aforementioned notifications to the email address the user has registered in their account. Users should ensure that their registered email address is true, valid, and updated in a timely manner; failure to receive or become aware of a notification due to inaccurate, invalid, or untimely updated user email information, or the user's failure to review the relevant notification in a timely manner, does not affect the calculation of the 14-day retention period or the destruction upon expiration agreed in these Rules.

During the 14-day retention period, the user may still log in and access the Workspace, the relevant AI Agents remain dormant, and the relevant system disk data continues to be retained.

Where the user obtains new Credits during the 14-day retention period, the relevant Credits will be used first to settle the arrears in accordance with §9.2 Insufficient Balance and Settlement of Arrears. After the arrears are fully settled, the 14-day arrears retention period and destruction countdown terminate; the relevant AI Agents will not automatically resume operation, and the user must re-wake them themselves.

If the arrears are still not fully settled when the 14-day retention period expires, OpenMax will automatically destroy the relevant AI Agents under that Workspace and release their system disks, and the relevant data will not be recoverable.

OpenMax may, in accordance with the user agreement, the account management rules applicable at that time, and applicable law, take restriction, freezing, resource reclamation, or other appropriate account and resource management measures against accounts or Workspaces that have been long unused, remain continuously inactive, or otherwise meet the relevant conditions.

11.4 Free Users Using Credit Packs

Free plan users may use relevant billable services by purchasing Credit packs. If the available Credits are exhausted, causing an AI Agent to become dormant, that AI Agent will directly enter the 14-day retention period specified in §11.3 Arrears and 14-Day Retention Period Under the Free Plan.


§12 Billing, Orders, and Payment Vouchers

12.1 Billing and Order Records

The Workspace administrator may view billing and order records related to the Workspace through the management features provided by the platform, including:

  1. Credit consumption records, including consumption time, consumption type, and the quantity of Credits deducted;
  2. Credit entry records, including entry records from different sources such as subscription plan grants, Credit pack purchases, and gifted and promotional Credits; and
  3. Order and payment records, including relevant payment order information and the Invoice or other payment vouchers provided by the platform.

The specific billing content, display method, and queryable scope are subject to the features actually provided by the platform.

12.2 Invoices and Payment Vouchers

OpenMax issues corresponding payment vouchers or Invoices in accordance with its place of registration and applicable law. Users should confirm on their own whether such vouchers meet the tax or financial compliance requirements of their region.

For orders in which payment has actually occurred, users may apply for, view, or download the corresponding Invoice or payment voucher using the method provided by the platform.

For Credits obtained free of charge through free plans, trials, operational campaigns, promotions, or other means, no payment voucher is provided because no corresponding payment has occurred.


§13 Other Billing Rules

13.1 Billing Time Zone

Except as otherwise expressly agreed by the platform, in the order, or by both parties, OpenMax's billing cycles, Credit validity periods, fee calculations, and other billing-related times are all based on Coordinated Universal Time (UTC).

The platform may display relevant times in the local time zone based on the user's location or device settings; local time zone display is solely for the user's convenience, and the relevant billing times are still determined according to the aforementioned applicable billing time zone.

13.2 Discount Codes and Promotions

OpenMax may from time to time offer discount codes, promo codes, or other price promotions. The relevant promotions may apply only to the first payment, to specific billing cycles, or continuously while the eligibility conditions are met; the specific discount amount or percentage, applicable plans, number of uses, validity term, discount cycle, and other conditions of use are subject to the relevant promotion rules, the claim or usage page, the order, or the platform display.

Except as otherwise expressly stated in the relevant promotion rules, discount codes or other promotions have no cash value and may not be exchanged for cash.
