Welcome to OpenMax! Please read these Terms of Service (these "Terms") carefully before registering for or using our Services.

I. Definitions

OpenMax: refers to the AI collaboration Workspace platform operated by OpenMax Pte. Ltd. (hereinafter "we," "us," or "OpenMax"), including but not limited to the openmax.com website, the Workspace, the management console, the API interfaces, and related products, features, and supporting services.

Services: refers to the AI collaboration Workspace and related services provided by OpenMax, including but not limited to the creation, configuration, and management of Workspaces; the configuration, deployment, invocation, and management of AI Agents; model and tool invocation, knowledge base and memory management, multi-channel connectivity, task execution, content generation, and AI Agent collaboration, and other functional services; as well as related hosting infrastructure services and other supporting services.

Workspace: refers to the AI collaboration environment that a user creates, joins, or is authorized to access on the OpenMax platform, used to organize and manage members, AI Agents, knowledge bases, files, memory, tasks, workflows, channels, permission settings, and other related resources.

User / You: refers to the individual or organization that registers, logs in, creates or joins a Workspace, or otherwise accesses or uses the OpenMax Services.

AI Agent: refers to the intelligent software agent that OpenMax provides to you through the Workspace. An AI Agent may perform task planning, information processing, content generation, tool invocation, system operations, and other related task execution based on the instructions, task objectives, permissions, context, knowledge bases, memory, workflows, and available tools provided or configured by the user, and may autonomously determine and carry out specific execution steps within the scope authorized by the user.

Input Content: refers to the prompts, instructions, task objectives, messages, files, knowledge base materials, data, configurations, and other content that you provide, upload, submit, transmit, configure, or make accessible through the OpenMax Services.

Output Content: refers to the text, data, files, code, analysis results, messages, and other content generated, returned, or presented in the course of your use of the OpenMax Services.

II. Acceptance and Application of the Terms

2.1 By registering an account, checking a box to indicate consent, or beginning to use the OpenMax Services, you indicate that you have read, understood, and agreed to accept all provisions of these Terms. If you do not agree with any part of these Terms, please cease use immediately.

2.2 We may revise these Terms from time to time. The revised Terms will be published on the OpenMax platform and will take effect on the date of publication. Your continued use of the Services after such revision shall be deemed acceptance of the revised Terms. In the case of material changes, we will notify you in advance by email or platform notice prior to publication.

2.3 These Terms apply to all Services provided by OpenMax, including features and products added subsequently.

III. Account Registration and Management

3.1 Eligibility to Register: You shall have the legal capacity required to enter into and be bound by these Terms. If you register for or use the OpenMax Services on behalf of an organization, you represent and warrant that you have obtained the lawful authorization of that organization. The Services are not directed to individuals under the age of 18; if you are under 18, please do not register, log in, or use the Services.

3.2 Account Information: You shall provide true, accurate, and complete registration information and update it in a timely manner. You are solely responsible for any consequences arising from inaccurate information.

3.3 Account Security: You are responsible for safeguarding your account credentials (including passwords, API Keys, Bot Tokens, etc.). You shall bear the corresponding responsibility for any leakage of credentials or unauthorized use caused by your own reasons. If you discover that your account has been misappropriated or that a security risk exists, please contact us immediately.

3.4 Account Transfer: Without our written consent, you may not transfer, lend, or in any manner make your account available for use by a third party.

3.5 Sanctions and Export Controls: You represent and warrant that you (or the organization you represent) are not an individual or entity listed on any applicable trade sanctions or export control list, are not owned or controlled by any party on such lists, and are not located in a country or region subject to comprehensive trade embargo or sanctions by the relevant national or international organizations. You undertake that you will not use the OpenMax Services for any purpose that violates applicable export control or economic sanctions laws and regulations. If you no longer meet the foregoing representations, you shall immediately cease using the OpenMax Services and notify us.

IV. Service Description and Experimental Disclaimer

4.1 Service Content: OpenMax provides an AI collaboration Workspace service. You may configure and use AI Agents through the Workspace, manage knowledge bases, memory, tasks, workflows, and related permissions, and connect, interact, and collaborate on tasks through the channels, tools, and services supported by the platform. OpenMax also provides hosting infrastructure and other supporting features related to the operation of the Workspace and AI Agents.

4.2 Experimental Service Disclaimer: AI Agent technology is still in a stage of rapid development. You understand and acknowledge that:

AI Agents may produce inaccurate, incomplete, or inappropriate Output Content;
The behavior of AI Agents may not fully conform to your expectations;
The Services may experience interruptions, delays, or feature adjustments due to technical reasons.

You shall reasonably review and verify the Output Content and behavior of AI Agents according to your specific use scenarios and potential risks, and shall bear the corresponding responsibility for your configuration, authorization, and use of AI Agents.

4.3 Third-Party Dependencies: The OpenMax Services rely on third-party AI model providers (such as OpenAI, Anthropic, etc.) and cloud infrastructure providers. Any limitation or unavailability of functionality caused by the interruption, change, restriction, or failure of third-party services shall not be deemed a breach of these Terms by us.

4.4 Service Adjustments: We have the right to add, change, or terminate certain Service features based on business development, technical, security, compliance, or other reasonable needs. If such adjustments have a material adverse impact on your use of the Services, we will, where reasonably practicable, notify you through appropriate means.

V. User Rights and Obligations

5.1 Lawful Use: You shall use the OpenMax Services in compliance with all applicable laws and regulations, including but not limited to the laws and regulations of your region and of the region where the Services are deployed.

5.2 Autonomous Execution by AI Agents and User Responsibility:

You understand and acknowledge that an AI Agent may, based on the instructions, task objectives, context, and workflows you provide or configure, as well as the accounts, credentials, tools, system permissions, and other access rights you grant, autonomously plan and select specific execution steps, invoke tools, process data, and carry out related operations. After you configure or enable the relevant features, connect accounts or systems, and grant the corresponding permissions, an AI Agent may, in order to accomplish your task objectives, carry out relevant operations within the scope of such permissions; specific operations will not necessarily be separately confirmed with you before each execution, subject to the features, permissions, and approval settings you have enabled.
You shall assess the appropriateness of the permissions granted to an AI Agent on your own, and reasonably set the scope of access, approval mechanisms, and human oversight measures according to the nature of the task and potential risks. You shall bear the corresponding responsibility for any risks arising from your instructions, task objectives, permission configuration, or use of AI Agents.
Except as otherwise agreed in writing by the parties or otherwise mandatorily required by applicable law, OpenMax has no obligation to conduct prior review or human approval of each operation carried out by an AI Agent within the scope of your authorization, nor does it guarantee that an AI Agent's specific judgment or execution results will always meet your subjective expectations.

5.3 Data and System Access Authorization: You represent and warrant that, with respect to the data, accounts, systems, and other resources that you provide to the OpenMax platform or allow an AI Agent to access, you hold the lawful rights, authorizations, or other processing bases required by applicable law, and have duly performed the necessary notification, consent, or authorization procedures. Except as otherwise mandatorily required by applicable law, OpenMax has no obligation to independently investigate or verify whether you possess the foregoing rights, permissions, authorizations, or processing bases, and is entitled to reasonably rely on your representations, configurations, authorizations, and instructions.

5.4 Prohibited Conduct: You shall not use the OpenMax Services to engage in any of the following activities:

Conduct that violates laws and regulations, public order and good morals, or infringes the lawful rights and interests of others;
Generating or disseminating false information, hate speech, pornographic content, violent content, or other unlawful or harmful information;
Sending spam, phishing, distributing malware, or other forms of network abuse;
Abusing the OpenMax Services through automated scripts, bulk operations, or other abnormal means, including mass creation, configuration, or invocation of AI Agents, or conduct that causes resource consumption, invocation frequency, or concurrency scale to significantly exceed the scope of normal commercial use;
Unauthorized access, scanning, or attacking of other systems or networks;
Reverse engineering, decompiling, disassembling, or otherwise attempting to obtain the source code of the OpenMax platform;
Using the OpenMax Services to develop products or services that are in direct competition with OpenMax;
Substituting for professional services that legally require specific qualifications (such as medical diagnosis or legal advice), unless you already possess the corresponding qualifications and have implemented adequate risk controls;
Circumventing or attempting to circumvent OpenMax's security measures, usage restrictions, or technical protection measures;
Other conduct that we reasonably believe may harm the interests of the OpenMax platform, other users, or third parties.

For high-risk scenarios such as medical, financial, and legal matters, unless you already possess the corresponding qualifications and undertake additional human review obligations, you shall not use OpenMax for such purposes; all consequences arising from a breach of this usage restriction shall be borne by you and shall trigger the indemnification obligations under Article XII.

5.5 Credential Security Obligation: You are obligated to ensure the security of sensitive credentials such as API Keys, Bot Tokens, and Webhook secrets. Share credentials only with team members you trust, and replace them promptly upon personnel changes.

5.6 Permission and Access Scope Configuration Obligation: You shall, according to your purpose of use, the nature of the task, and potential risks, configure and continuously manage the credentials, permissions, and access scope granted to AI Agents in accordance with the "principle of least privilege," including reasonably limiting the accounts, systems, data, files, code repositories, and other resources they may access, and shall promptly adjust or revoke the relevant permissions as actually needed, and shall make reasonable use of the permission control, approval, audit, or other risk management features that OpenMax provides from time to time. You shall bear the corresponding responsibility for any internal information exposure, unauthorized access, data breach, or other loss caused by your permission configuration, credential management, or failure to adopt reasonable access control measures. The relevant control features provided by OpenMax are intended only to assist you in managing risk and do not constitute any guarantee that an AI Agent's specific execution results or related risks can be fully identified, prevented, or avoided.

VI. Account, Workspace, and Secure Use

6.1 Workspace Management Responsibility: You shall reasonably manage the Workspace and its members, roles, permissions, and related resources according to your actual business needs. If you use the Services as the owner or administrator of a Workspace, or in another capacity with management permissions, you shall reasonably control member additions, permission grants, permission changes, and member removals, and shall promptly adjust or revoke the corresponding permissions when personnel responsibilities change, personnel depart, or access to the relevant resources is no longer needed.

6.2 Account and Access Security: You shall take reasonable measures to protect your account, login credentials, and Workspace access rights, and to prevent unauthorized access or use. You shall not provide account credentials to persons who are not entitled to use the relevant account or Workspace, and shall promptly take reasonable measures and notify OpenMax upon discovering that the account, credentials, or Workspace may be subject to unauthorized access, security risks, or abnormal activity.

6.3 Secure Use Environment: You shall use the OpenMax Services in a reasonably secure device, network, and operating environment appropriate to the sensitivity of the data processed, the systems connected, and the tasks executed, and shall adopt security measures commensurate with the relevant risks. You shall pay particular attention to adopting appropriate security measures when configuring external account or system connections, processing sensitive data, setting access permissions, and carrying out other operations that may affect data or external systems.

6.4 User-Side Security Responsibility: You shall bear the corresponding responsibility for any unauthorized access, information disclosure, data loss, or other loss caused by the absence or inadequacy of your account management, member management, credential safekeeping, permission configuration, or other security measures under your control.

6.5 Security Features and Notices: OpenMax may, depending on the specific service and feature, provide access control, security notices, logging, approval, or other security and risk management features. Such features are intended to assist you in managing usage risk and do not constitute any guarantee by OpenMax that your use environment, account security, or any risk can be identified, prevented, or avoided. You shall still adopt appropriate security management measures according to your own business scenarios and level of risk.

VII. Intellectual Property

7.1 Platform Intellectual Property: The intellectual property in the OpenMax platform and its related software, technology, interface design, trademarks, documentation, and other content belongs to us or the relevant rights holders. Except for the right to use the Services expressly granted under these Terms, these Terms do not constitute any transfer or license of any of the foregoing intellectual property.

7.2 Input Content: You retain the intellectual property in all content you input into the OpenMax platform, and you warrant that you hold lawful rights to the Input Content or have obtained the necessary authorization. You grant us a non-exclusive license, as necessary to provide the Services, including the storage, reproduction, transmission, processing, and display of the Input Content to the extent necessary, and permitting the service providers necessary for providing the Services to carry out corresponding processing.

7.3 Output Content: As between you and OpenMax, and to the extent permitted by applicable law, the Output Content belongs to you; to the extent OpenMax holds any transferable intellectual property in the Output Content under the law, OpenMax assigns such rights to you. Due to the nature of artificial intelligence technology, the Output Content may not be unique, and other users may obtain the same or similar content. OpenMax does not guarantee that the Output Content can obtain intellectual property protection or that it does not infringe the rights of third parties.

7.4 Third-Party Content and Services: If you connect to, access, or use third-party products or services on your own through the Workspace, the content provided, generated, or returned by the relevant third party, and its intellectual property ownership, scope of license, and usage restrictions, may be governed by the third party's terms of service, license conditions, or other rules. OpenMax does not thereby acquire or grant you any intellectual property or license beyond the scope it lawfully holds or is entitled to grant.

7.5 Feedback: If you voluntarily provide us with feedback, suggestions, or improvement recommendations regarding the Services, we have the right to use such feedback free of charge to improve the Services, without any obligation to pay you any fees or assume any obligations.

VIII. Payment and Refunds

8.1 Fees and Billing: Certain OpenMax Services are paid services. The applicable subscription plans, prices, Credit allowances, usage-based billing standards, and other charging information are subject to the pricing page, order, and the OpenMax Workspace Billing Rules applicable at the time of purchase or use of the Services.

8.2 Credit: OpenMax may use Credit as a unit for measuring or settling Service usage. The acquisition, use, validity period, deduction, expiration, and other rules of Credit are subject to the OpenMax Workspace Billing Rules. Except as otherwise mandatorily required by applicable law, Credit is not currency and may not be withdrawn or exchanged for cash.

8.3 Automatic Renewal: If you purchase a subscription service, it will automatically renew unless you actively cancel before the renewal date. After cancellation, you may continue to use the Service until the end of the current billing cycle.

8.4 Adjustment of Prices and Rules: OpenMax may adjust prices, plans, and billing rules; in principle, subscriptions already in effect will be subject to such adjustments in the next cycle.

8.5 Overdue Payment: In the event of insufficient balance or payment failure, OpenMax has the right to restrict, suspend, or terminate the Services, as specifically implemented in accordance with the billing rules.

IX. Data and Privacy

9.1 We value your data security and privacy protection. For specific descriptions regarding the collection, use, storage, and protection of personal information, please refer to our Privacy Policy.

9.2 Confidentiality and No Use for Training: Each party shall keep the other party's confidential information (including your data and internal information accessed by AI Agents) confidential with a degree of care no less than reasonable prudence, and shall use it solely for the purpose of performing these Terms. You retain the rights you lawfully hold in the Input Content and user data; ownership of the Output Content is determined in accordance with Article 7.3. Unless you otherwise agree in writing, OpenMax will not use your data or the content accessed by AI Agents to train any AI model. OpenMax does not bear control responsibility for the data processing practices of third-party products or services that you connect to on your own; such processing is governed by the third party's own terms and privacy policy.

9.3 Data Backup: You are responsible for backing up your important data on your own, including knowledge base content, configuration information, etc. We are not liable for any data loss caused by a failure to back up.

9.4 Data Handling After Account Termination: After account cancellation, Workspace deletion, cancellation of Services, termination of these Terms, or deletion or termination of an AI Agent instance or other service instance, we will, in accordance with these Terms, the Privacy Policy, and applicable law, retain, return, export, anonymize, or delete your account data, Input Content, configurations, conversation records, task logs, and other related data. You shall export and back up the data you need on your own before termination of the Services or deletion of the data; except as otherwise provided by applicable law, OpenMax has no obligation to continue to store or restore such data after the expiration of the relevant retention period.

X. Disclaimers

10.1 Provided "As Is": To the maximum extent permitted by applicable law, the OpenMax Services are provided on an "as is" and "as available" basis, without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted or error-free, nor any guarantee that they will meet your specific requirements or expectations.

10.2 Disclaimer for AI Agent Output: The Output Content of AI Agents is generated by AI systems and does not represent our views, positions, or recommendations. To the maximum extent permitted by applicable law, we make no warranty as to the accuracy, completeness, legality, or applicability of the Output Content.

10.3 Disclaimer for Autonomous Execution by AI Agents: You understand and acknowledge that an AI Agent may autonomously judge and carry out specific execution steps based on your task objectives, instructions, context, configuration, and the permissions granted, that its actual execution behavior may be inconsistent with your expectations, and that it may have actual effects on accounts, systems, data, or third parties. Certain operations, once carried out, may be difficult to reverse, restore, or correct. You shall reasonably configure the relevant permissions according to the specific task and potential risks, and adopt testing, backup, approval, human oversight, or other appropriate risk control measures as needed. OpenMax does not guarantee that the specific execution behavior or results of an AI Agent will always meet your expectations.

10.4 Third-Party Products and Services: OpenMax may allow you to connect to, access, invoke, or use, through the Workspace, AI Agents, models, applications, tools, communication channels, and other products or services that are independently developed, provided, or controlled by third parties. You decide on your own whether to connect to or use such third-party products or services, and you shall review and comply with their applicable terms of service, privacy policies, and other rules on your own, including ensuring that the manner in which you use the accounts, API Keys, and related credentials you provide complies with the third party's own terms of service and usage policies; you shall bear on your own any account restrictions, service interruptions, or other consequences resulting from your manner of accessing or using such third-party products or services in violation of the third party's terms or policies, and OpenMax bears no responsibility therefor. You understand and acknowledge that third-party AI Agents may likewise, based on the accounts, credentials, and permissions you grant, autonomously plan and carry out execution steps, invoke tools, and process data, and that the relevant operations will not necessarily be confirmed with you before each execution, subject to your settings; you shall assess the appropriateness of granting the relevant permissions on your own and reasonably set the scope of access, approval, or oversight measures, and you shall bear on your own any risks arising therefrom, and OpenMax likewise has no obligation to conduct prior review of its operations or to guarantee that the results meet your expectations. You shall likewise hold lawful rights or a processing basis with respect to the resources you provide to, or allow to be accessed by, such third-party AI Agents, and shall have duly performed the necessary notification, consent, or authorization procedures; OpenMax likewise need not verify this and is entitled to reasonably rely on your representations. Except as otherwise mandatorily required by applicable law, OpenMax makes no warranty and assumes no responsibility for the functionality, content, output, behavior, availability, accuracy, security, data processing practices, or other performance of such third-party products or services themselves; OpenMax assumes corresponding responsibility under these Terms only for the Workspace connection, integration, or communication features it provides.

10.5 Force Majeure: We are not liable for any service interruption or loss caused by force majeure events such as natural disasters, war, government acts, cyberattacks, power failures, or third-party service interruptions.

XI. Limitation of Liability

11.1 Exclusion of Indirect Losses: To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, revenue, business opportunities, anticipated savings, or goodwill, business interruption, loss, damage, disclosure, or unavailability of data, and third-party claims arising from data exposure or breach, whether such liability is based on contract, tort (including negligence), statutory duty, or any other basis of liability, and regardless of whether OpenMax has been advised of or should have foreseen the possibility of such losses.

11.2 Exclusion of Liability for Third-Party Services and Dependencies: The OpenMax Services may rely on, invoke, connect to, or interact with AI models, cloud infrastructure, APIs, software, communication channels, networks, and other products or services provided by third parties, including third-party services selected or used by OpenMax to provide the Services, as well as third-party products or services that you connect to, access, or use on your own through the Workspace. To the maximum extent permitted by applicable law, OpenMax shall not be liable for any service unavailability, functional limitation, execution failure, delay, error, or other loss caused by the interruption, failure, delay, error, restriction, change, suspension, or termination of such third-party products or services themselves, or by other matters beyond OpenMax's reasonable control. With respect to third-party products or services that you select, connect to, access, or use on your own, OpenMax likewise makes no warranty and assumes no responsibility for their functionality, content, output, behavior, accuracy, security, availability, or data processing practices.

11.3 Liability Cap: To the maximum extent permitted by applicable law, OpenMax's total aggregate liability arising out of or in connection with these Terms or the Services, whether based on contract, tort (including negligence), statutory duty, or any other basis of liability, shall not exceed the total amount of service fees actually paid by you to us for the relevant Services in the twelve (12) months preceding the event giving rise to the relevant liability. The foregoing liability cap applies to liability arising from breach of confidentiality obligations, data security incidents, service interruptions, data loss, or other causes, and this Article shall continue to apply even if any limited remedy fails of its essential purpose.

11.4 Statutory Exceptions: Any exclusion or limitation of liability in these Terms shall not apply to any liability that may not be excluded or limited under applicable law.

XII. Indemnification

For any third-party claim, demand, lawsuit, or arbitration, or any investigation, enforcement, or other proceeding initiated by a governmental or regulatory authority, arising out of or in connection with the following matters, as well as any loss, liability, cost, and expense (including reasonable attorneys' fees) suffered or reasonably incurred by OpenMax and its affiliates, directors, and employees as a result, you shall be responsible for handling the matter and shall indemnify and hold harmless OpenMax and the related parties:

Your use of the OpenMax Services, including your configuration, instructions, authorization, or use of AI Agents, as well as your connecting to, accessing, invoking, or using third-party products or services on your own through the Workspace and related conduct;
Your Input Content, or your use, publication, dissemination, or other handling of the Output Content;
The access permissions and credentials you grant to AI Agents, or an AI Agent's access to, processing, disclosure, or other operations on data;
Your breach of these Terms;
Your violation of applicable law or infringement of the rights of third parties.

XIII. Termination and Suspension of Services

13.1 Your Right to Terminate: You may terminate these Terms at any time by canceling your account or ceasing use.

13.2 Our Right to Terminate: We have the right to suspend or terminate your Services in the following circumstances, and to take measures such as warning, restricting features, suspending Services, or permanent banning, according to the severity of the circumstances:

You breach any provision of these Terms;
Your conduct may cause harm to the platform, other users, or third parties;
As required by laws and regulations or by judicial or administrative order;
Your account exhibits abnormal activity or security risks;
Other circumstances that we reasonably believe require termination of the Services.

13.3 Consequences of Termination: After termination of these Terms, you shall cease using the OpenMax Services, and the relevant data will be handled in accordance with these Terms, the Privacy Policy, and applicable law. Termination of these Terms does not affect the rights, obligations, and liabilities that have already arisen prior to termination; provisions of these Terms that by their nature should continue to be effective after termination, including provisions on intellectual property, confidentiality, data privacy, disclaimers, limitation of liability, indemnification, and dispute resolution, shall continue to be effective after termination of these Terms.

XIV. Dispute Resolution and Governing Law

14.1 Governing Law: The formation, validity, interpretation, performance, and dispute resolution of these Terms shall be governed by the laws of the Republic of Singapore.

14.2 Dispute Resolution: Any dispute arising out of or in connection with these Terms shall first be resolved by the parties through friendly negotiation. If negotiation fails, either party has the right to submit the dispute to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with its arbitration rules then in effect. The seat of arbitration shall be Singapore, and the language of arbitration shall be English.

14.3 Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue to be effective.

XV. Miscellaneous

15.1 Entire Agreement: These Terms (including the Privacy Policy and other rules published on the platform) constitute the entire agreement between you and us regarding the use of the OpenMax Services.

15.2 Waiver: Our failure to exercise or delay in exercising any right under these Terms shall not constitute a waiver of that right.

15.3 Assignment: Without our prior written consent, you may not assign your rights or obligations under these Terms. We have the right to assign our rights and obligations under these Terms to our affiliates or successors.

15.4 Notices: We may send you notices through the email address you provided at registration, through in-platform notifications, or by announcement on the OpenMax website.
